1. Introduction

These Terms and Conditions (“Terms”) govern your participation in the White Coat Hospitality Rewards Program (the “Program”), the customer loyalty program operated by White Coat Ventures Pte. Ltd. (“White Coat,” “we,” “us,” or “our”) through our online store at shopwhitecoat.com.

The Program is administered using Smile.io, a third-party loyalty platform provided by Smile Inc., in conjunction with our Shopify e-commerce platform.

By enrolling in the Program, you agree to be bound by these Terms, together with our Terms of Service, Privacy Policy, Shipping Policy, and Returns and Exchange Policy, each of which is incorporated by reference. If you do not agree to these Terms, you should not enroll in or continue to participate in the Program.

Please read these Terms carefully. They contain important information about how points are earned, how rewards are issued and redeemed, and the circumstances in which points and rewards may expire or be forfeited.

2. Program Scope: Online Only

The Program applies exclusively to purchases made through our online store at shopwhitecoat.com.

Purchases made at any White Coat physical retail location, through any marketplace or third-party reseller, or through any wholesale, institutional, or corporate ordering channel outside our online store:

• do not earn points;
• do not count toward Tier qualification; and
• cannot be used to redeem Program rewards.

Reward coupons issued under the Program can only be applied to orders placed through shopwhitecoat.com and cannot be honored in our physical stores.

3. Eligibility

To enroll in and participate in the Program, you must:

1. be at least eighteen (18) years of age;
2. create and maintain a customer account on shopwhitecoat.com; and
3. provide accurate, current, and complete information at the time of enrollment and keep that information up to date.

One account per person. Each individual may hold only one Program membership. Multiple accounts held or controlled by the same individual, or created using aliases, duplicate identities, or disposable email addresses for the purpose of obtaining additional points or rewards, may be merged, suspended, or terminated at our discretion, and the associated points and rewards forfeited.

No pooling, transfer, or combining. Points and rewards are personal to the member. Points cannot be transferred, assigned, gifted, pooled, combined, or consolidated between accounts, whether or not the accounts belong to members of the same household. Points and rewards have no cash value, are not property, are not redeemable for cash, and do not constitute a debt, security, or obligation of White Coat. Points and rewards cannot be sold, bartered, or exchanged, and any attempt to do so voids the points and rewards concerned.

Non-transferable on death or dissolution. Points and rewards are not transferable by operation of law, including on death, divorce, or dissolution of a relationship or business.

Enrollment. Enrollment is free. Membership begins on the date your account is successfully created and, subject to Sections 8, 9, and 10, continues until terminated by you or by us.

4. Membership Tiers

The Program has four (4) membership tiers: Member, Pro, Elite, and VIP.

4.1 Tier Qualification

Scrubs equivalency is indicative only. The figures above are provided to help you understand roughly how much purchasing corresponds to each tier. They are not a guarantee, and actual qualification is determined solely by the peso amount spent.

4.2 How Qualifying Amount Spent Is Calculated

Your qualifying amount spent is the cumulative merchandise value of all your paid orders placed through shopwhitecoat.com, after any discounts applied to the order. It excludes shipping fees, value-added tax (VAT), and gift card purchases. Amounts refunded, cancelled, or charged back are deducted (see Section 4.6).

This is the same basis used to calculate points on purchases (see Section 5.2).

4.3 Continuous Evaluation and Upgrades

Tier placement is evaluated continuously. You are upgraded as soon as an order is recorded as paid and your cumulative qualifying amount spent reaches the applicable threshold. You do not need to wait for a review date or the start of a new calendar year.

Tier entry rewards are issued only when your Tier increases. No entry rewards are issued for retaining a Tier.

4.4 Tier Status Is Permanent

Once you reach a Tier, that Tier is permanent. Your Tier will never be downgraded for insufficient spending, inactivity, or the passage of time, and you are never required to re-qualify.

Please note that permanent Tier status does not protect your points balance. Points remain subject to expiry under Section 5.6, and a VIP member with an expired points balance retains VIP status and the VIP earning rate while holding zero points.

4.5 Earning Rate on a Qualifying Order

Where a single order causes you to reach a new Tier, that order earns points at the rate applicable to your previous Tier. The higher earning rate of your new Tier applies to orders placed after the upgrade takes effect.

4.6 Corrections to Tier Placement

Notwithstanding Section 4.4, we reserve the right to correct or reduce a Tier placement where it was obtained through orders that were subsequently refunded, cancelled, charged back, or fraudulently placed, or where it resulted from technical or administrative error.

5. Earning Points

5.1 Ways to Earn

5.2 Points on Purchases

Points on purchases are calculated on the merchandise value of your order only. The following are excluded from the points-earning total:

• shipping and delivery fees;
• value-added tax (VAT) and any other taxes, duties, or government-imposed charges;
• gift card and gift certificate purchases;
• the portion of any order paid for using a Program reward coupon or other discount code; and
• amounts refunded, cancelled, or voided.

Points are awarded once your order is recorded as paid. Points are not awarded on orders that are pending, unpaid, authorized but uncaptured, cancelled, or voided.

Guest checkout does not earn points. You must be signed in to your account at the time of purchase for points to be credited. Orders placed as a guest, or under an email address different from your Program account, will not earn points and may not be credited retroactively.

5.3 Sign-Up Bonus

The 1,000-point sign-up bonus is awarded once per member, on successful enrollment. It is not available to customers who held a store account before the Program launched, and it cannot be claimed more than once, including by a member who closes and reopens an account.

For clarity, the sign-up bonus alone is below the minimum redemption threshold in Section 6.1 and is intended to contribute toward, rather than immediately unlock, your first reward.

5.4 Social Media Points

Points for liking or following White Coat on Facebook, TikTok, or Instagram are awarded once only per platform, per member, for the lifetime of your account. They cannot be earned again by unfollowing and re-following.

We do not monitor whether you continue to follow our accounts after points are awarded, and we do not reverse points if you later unfollow. Social media actions must be completed through the Program interface on our website in order to be recognized and credited.

5.5 Birthday Celebration Points

Birthday Celebration Points are awarded once per calendar year to members in the Pro, Elite, and VIP Tiers. Members in the Member Tier are not eligible for Birthday Celebration Points.

To be eligible, you must:

1. add your date of birth to your Program profile through the rewards panel on our website. You will be prompted to do so when you sign in; and
2. have entered your date of birth at least thirty (30) days before the birthday for which you wish to be rewarded.

If your date of birth is entered fewer than thirty (30) days before your birthday, you will not receive Birthday Celebration Points for that year. You will become eligible for the following year.

Points awarded reflect your Tier on the date the points are issued. If you are subsequently promoted to a higher Tier during the same year, your Birthday Celebration Points for that year are not topped up, adjusted, or reissued. You will receive the higher amount on your next birthday.

Date of birth may be changed only in limited circumstances and at our discretion. We may decline changes that appear intended to obtain Birthday Celebration Points more than once in a calendar year.

5.6 Points Expiry

Your entire points balance will expire and be forfeited if you do not earn or redeem any points for a continuous period of twelve (12) months.

Any qualifying earning or redemption activity resets the twelve-month period. Where your balance expires, the full balance is forfeited — expiry is not applied point-by-point according to when individual points were earned.

Advance notice. We will send a warning email to the email address on your account in advance of your points expiring. It is your responsibility to keep your email address current and to ensure our emails are not blocked or filtered. We are not liable for points expiring where a notification email was sent but not received, opened, or read, or where the email address on your account was inaccurate or out of date.

Expired points cannot be reinstated.

5.7 Adjustments, Reversals, and Refunds

Where an order is refunded, cancelled, charged back, or otherwise reversed, any points awarded for that order will be deducted from your balance. This applies to partial refunds on a proportionate basis.

If a deduction results in a negative balance, that balance must be restored through further earning before any redemption can be made.

We may adjust, correct, or remove points credited in error, awarded through a technical fault, or awarded in breach of these Terms, whether or not the error was ours.

6. Rewards

6.1 Points Redemption

Points may be redeemed for discount coupons as follows. Redemption is available to members of all Tiers, including the Member Tier.

Points redemption coupons issued under this Section do not expire.

Redemption is final. Once points are redeemed for a coupon, the points are spent. Points are not returned to your balance if the coupon is not used, is lost, or is applied to an order that is subsequently cancelled or refunded. Redemptions cannot be reversed, and coupons cannot be exchanged for a different denomination or for cash.

Coupon codes are issued to your rewards panel and, where enabled, by email.

6.2 Tier Benefits

Tier benefits are issued once, on promotion. The free shipping coupon and the Tier discount coupon are one-time entry rewards issued when you first reach the relevant Tier. They are not reissued annually, per order, or on any recurring basis.

Tier benefits are not retroactive. Reaching a higher Tier does not entitle you to the entry rewards of lower Tiers you passed through or of Tiers reached before the Program launched.

6.3 First-Time Order Discount

A 10% discount is available on your first order placed through shopwhitecoat.com when you sign up to our email newsletter. It is single use, cannot be combined with any other discount code, and applies to eligible merchandise only. This discount is issued through Klaviyo, our email marketing platform, rather than through Smile.io.

6.4 Free Shipping Coupon

The free shipping coupon is available to Pro, Elite, and VIP members and is issued once on promotion to the relevant Tier.

• Coverage: all delivery locations we serve, and all couriers and shipping methods offered at checkout.
• Maximum value: the coupon covers shipping charges up to a maximum of ₱500.00. Where shipping charges exceed ₱500.00, you remain responsible for the balance.
• Minimum spend: none.
• Usage: one coupon per order, single use only.
• Validity: the coupon expires six (6) months from the date it is issued, which is the date of your promotion to the relevant Tier. Expired free shipping coupons cannot be reinstated or reissued.

The coupon applies to standard shipping charges only. It does not cover remote-area surcharges, redelivery fees, return shipping, customs duties, insurance, packaging upgrades, or any expedited or special handling fees, unless we state otherwise in writing.

6.5 Tier Discount Coupon

Pro, Elite, and VIP members receive a one-time discount coupon on promotion, valued at ₱300.00, ₱500.00, and ₱1,000.00 respectively.

Each Tier discount coupon requires a minimum purchase of ₱3,500.00, calculated in accordance with Section 6.7. Tier discount coupons do not expire.

6.6 General Coupon Rules

All coupons issued under the Program, including points redemption coupons, Tier discount coupons, free shipping coupons, and referral coupons:

1. are single use only — once applied to an order, the code is consumed, whether or not the order is later cancelled or refunded;
2. are non-transferable and may be used only by the member to whom they were issued, on that member’s account;
3. cannot be stacked or combined with any other Program coupon, or with any site-wide sale, seasonal promotion, promotional code, bundle price, flash sale, or other offer. Only one discount code may be applied per order;
4. have no cash value and cannot be exchanged, refunded, resold, or redeemed for cash;
5. are valid only on shopwhitecoat.com;
6. apply to eligible merchandise only and do not apply to gift cards, gift certificates, or fees;
7. cannot be applied retroactively to an order already placed, and we will not cancel and reinstate an order to allow a coupon to be applied; and
8. are void if the account through which they were issued is suspended, terminated, or found to be in breach of these Terms.

Where a coupon is applied to an order that is subsequently cancelled, refunded, or returned, the value of the coupon is not refunded in cash, and neither the coupon nor the points used to obtain it will be reinstated.

6.7 Minimum Purchase Calculation

Where a coupon requires a minimum purchase — including the ₱3,500.00 minimum on Tier discount coupons and referral coupons — that minimum is assessed on the merchandise value of your cart after all applicable discounts have been applied, and before shipping fees are added.

Worked example. A cart containing ₱3,300.00 of merchandise, plus a ₱250.00 shipping fee, has a checkout total of ₱3,550.00. Because shipping fees are not counted, the cart’s merchandise value is ₱3,300.00, which does not meet the ₱3,500.00 minimum, so the coupon cannot be applied. Adding at least ₱200.00 more merchandise would make the cart eligible.

We recommend checking your cart’s merchandise value before checkout.

6.8 Early Access

Pro, Elite, and VIP members may receive early access to first-day product launches and selected offers on shopwhitecoat.com.

Early access is a discretionary benefit, not a guaranteed reward. It is subject to product availability and is offered on a first-come, first-served basis. Early access does not guarantee that any product will be available, in your size, or in your preferred colorway, and does not reserve, hold, or allocate stock. We are not obliged to provide early access for every launch or offer, and we may vary or discontinue this benefit at any time.

Early access is delivered by email or through your account, and depends on your maintaining a current email address and, where applicable, marketing consent.

7. Referral Program

7.1 How Referrals Work

Members may refer friends using the unique referral link available in their rewards panel.

• The referring member receives a ₱250.00 coupon once the referred friend’s first order is recorded as paid (see Section 7.2).
• The referred friend receives a ₱250.00 coupon.
• Both referral coupons require a minimum purchase of ₱3,500.00, calculated in accordance with Section 6.7.

7.2 Qualifying Referral

For a referral to qualify:

1. the referred person must be a new customer who has not previously held an account with, or placed an order through, shopwhitecoat.com;
2. the referred person must enroll and place their first order through the referral link; and
3. that order must be recorded as paid.

The referring member’s reward is issued once the referred friend’s first order is recorded as paid.

No return or refund waiting period applies before the reward is issued. We reserve the right to cancel or reverse a referral reward where the underlying order is subsequently cancelled, refunded, charged back, or found to be fraudulent.

7.3 Referral Limits and Prohibited Conduct

There is no cap on the number of qualifying referrals a member may make.

The following are prohibited and will result in forfeiture of referral rewards and may result in suspension or termination of membership:

• self-referral, including referring yourself using a second email address, alias, or duplicate account;
• referring members of the same household or referring a person who shares your payment method or delivery address, where the purpose is to obtain referral rewards rather than to introduce a genuine new customer;
• posting or distributing referral links on coupon aggregator sites, deal forums, discount code directories, or paid advertising, or in any manner that is spam, unsolicited bulk messaging, or a breach of a third-party platform’s terms;
• bidding on White Coat brand terms in paid search, or otherwise representing yourself as White Coat or as authorized to act on our behalf; and
• any coordinated scheme designed to generate referral rewards without genuine new customers.

7.4 Referral Reward Expiry

Referral rewards, including both the referring member’s coupon and the referred friend’s coupon, expire at 11:59 PM UTC, six (6) months after the date they are issued. Expired referral rewards cannot be reinstated or reissued.

8. Fraud, Abuse, and Forfeiture

We may, at our sole discretion and without prior notice, suspend or terminate your membership, cancel or reverse points and rewards, void issued coupons, and refuse future participation in the Program where we reasonably believe that you have:

• breached these Terms, our Terms of Service, or any other applicable policy;
• created or operated multiple or duplicate accounts, or provided false, misleading, or stolen identity or contact information;
• engaged in fraudulent, deceptive, or abusive activity, including fraudulent payment, chargeback abuse, or a pattern of ordering and returning intended to accumulate points or Tier status;
• sold, transferred, bartered, or attempted to transfer points, coupons, or membership;
• manipulated or attempted to manipulate the Program through automated means, bots, scripts, exploits, technical vulnerabilities, or unauthorized access;
• abused the referral program contrary to Section 7.3; or
• abused, threatened, or harassed our staff, or acted in a manner materially damaging to White Coat.

Where membership is terminated under this Section, all accrued points and all unused rewards are forfeited immediately and without compensation. Where we consider it appropriate, we may instead suspend an account pending investigation, during which points cannot be earned or redeemed.

Our decisions under this Section are made in good faith and at our discretion. Nothing in this Section limits any other right or remedy available to us at law.

9. Changes to the Program

We may modify, suspend, or terminate the Program, or any part of it, at any time. This includes changes to earning rates, Tier thresholds, Tier benefits, redemption values, redemption thresholds, expiry periods, and these Terms.

Notice. Where we make a change that materially and adversely affects members, or where we terminate the Program, we will give notice where reasonably practicable, by posting an updated version of these Terms on our website and, where appropriate, by email to the address on your account. Where advance notice is not reasonably practicable — including where a change is required by law, regulation, platform limitation, or to prevent fraud or abuse — the change may take effect immediately.

During a notice period. Where notice of termination or of a material change is given, accrued points and unexpired coupons remain usable throughout the notice period, in accordance with these Terms and subject to Sections 5.6, 6.4, 7.4, and 8. Points and rewards that have already expired or been forfeited are not reinstated.

On termination of the Program. At the end of any notice period, all unredeemed points and unused rewards expire and are forfeited without compensation. No cash payment, credit, or substitute will be made for unredeemed points or unused rewards.

Continued participation. Your continued participation in the Program after changes take effect constitutes acceptance of the revised Terms. If you do not accept a change, you may close your Program account, in which case Section 10 applies.

We may also cease to offer the Program in any location, discontinue any Tier or benefit, or migrate the Program to a different platform or provider.

10. Closing Your Account

You may leave the Program at any time by contacting us at support@shopwhitecoat.com.

On closure of your Program membership, all accrued points and all unused rewards are forfeited immediately and cannot be reinstated if you subsequently re-enroll. Re-enrolling does not restore a previous points balance, Tier status, or coupons, and does not re-entitle you to the sign-up bonus or to one-time earning actions already claimed.

Closing your Program membership does not automatically close your store account, and closing your store account does not automatically constitute a request to delete your personal data. Data deletion requests are handled in accordance with Section 11 and our Privacy Policy.

11. Data Privacy

11.1 Consent and Legal Basis

By enrolling in the Program, you consent to White Coat collecting, recording, organizing, storing, using, and disclosing your personal information for the purpose of administering the Program, in accordance with Republic Act No. 10173 (the Data Privacy Act of 2012), its Implementing Rules and Regulations, and the issuances of the National Privacy Commission. White Coat Ventures Pte. Ltd. is the personal information controller for Program data. You may contact our Data Protection Officer at MEGI-dataprivacy@megigroup.co.

11.2 Information We Process

For Program purposes we process: your name; email address; date of birth (where you provide it for Birthday Celebration Points); contact number and delivery address; order and transaction history; points balance and earning and redemption activity; Tier status; referral activity, including referral links you share and referrals attributed to you; social media actions completed through the Program; and communications between you and our support team.

11.3 Purposes

We process this information to: enroll and identify you as a member; calculate and credit points; determine Tier placement; issue, validate, and track coupons; administer referrals; send Program notifications including points expiry warnings, Tier promotion notices, and reward emails; detect and prevent fraud and abuse; respond to your inquiries; and analyze and improve the Program.

11.4 Service Providers and Cross-Border Transfer

The Program is administered using Smile.io (Smile Inc.), which acts as our personal information processor. Smile Inc. processes your personal information on our instructions and for the purposes described above, under contractual arrangements requiring appropriate confidentiality and security measures.

Cross-border transfer. You acknowledge and consent that your personal information will be transferred to and stored on servers located outside the Philippines, including in Singapore, Canada, and the United States, where White Coat Ventures Pte. Ltd., Klaviyo, Smile Inc., and their sub-processors operate. We take reasonable steps to ensure that transferred information receives a comparable level of protection to that required under the Data Privacy Act.

Your information is also processed by Shopify, our e-commerce platform, and may be shared with Klaviyo, our email marketing provider, for the purpose of sending Program communications and issuing the first-time order discount.

11.5 Retention

We retain Program data for as long as your membership is active and thereafter for such period as is necessary to comply with legal, tax, accounting, and audit obligations, to resolve disputes, and to enforce these Terms.

11.6 Your Rights

Subject to the Data Privacy Act, you have the right to be informed, to object, to access, to rectification, to erasure or blocking, to damages, and to data portability, and the right to lodge a complaint with the National Privacy Commission.

To exercise any of these rights, or to withdraw consent, contact support@shopwhitecoat.com. Please note that withdrawing consent to the processing of your Program data will require us to close your Program membership, and Section 10 will apply.

Full details of how we handle personal information are set out in our Privacy Policy.

12. Communications

By enrolling, you agree to receive transactional and service messages relating to the Program, including reward emails, points expiry warnings, Tier promotion notices, and referral notifications. These are necessary to administer the Program and are sent regardless of your marketing preferences.

Marketing communications, including early access notifications and promotional offers, are sent only where you have given marketing consent, and you may withdraw that consent at any time by using the unsubscribe link in any marketing email or by contacting us.

Withdrawing marketing consent may mean you no longer receive early access notifications or other time-sensitive Program offers. Your points, rewards, and Tier status are not otherwise affected.

13. Taxes

Any tax liability arising from your participation in the Program, including from points, coupons, or discounts received, is your sole responsibility. Where required by law, White Coat will withhold or report as necessary.

14. Limitation of Liability

To the fullest extent permitted by law, White Coat is not liable for:

• interruption, delay, error, or unavailability of the Program, our website, or the Smile.io platform, including as a result of maintenance, technical fault, third-party service failure, or force majeure;
• failure to credit points or issue rewards where caused by your use of guest checkout, an incorrect or outdated email address, an ad blocker or browser setting, or your failure to complete an action through the Program interface;
• non-receipt of Program communications, including points expiry warnings;
• loss, theft, interception, or unauthorized use of your account credentials, coupon codes, or referral links;
• unavailability of any product, including during early access periods; or
• forfeiture or expiry of points or rewards in accordance with these Terms.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Philippine law, including under Republic Act No. 7394 (the Consumer Act of the Philippines). Your statutory rights in respect of the products you purchase, including rights relating to defective goods, are not affected by these Terms.

15. Promotional Permits

The Program is a customer loyalty program. Points and rewards are earned through qualifying purchases and the other actions stated in these Terms, and are not awarded by chance or through a contest.

Where we run a time-limited sales promotion in connection with the Program that requires a permit under Republic Act No. 7394 (the Consumer Act of the Philippines) and its Implementing Rules and Regulations, the applicable DTI permit number and the promotion’s mechanics will be published with that promotion.

16. General

Entire agreement. These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and White Coat in relation to the Program and supersede any prior representation, marketing material, or statement, including any summary matrix, infographic, social media post, or email describing Program benefits. Where any such material conflicts with these Terms, these Terms prevail.

No waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or of our right to enforce it later.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be severed and the remaining provisions will continue in full force.

Errors. We reserve the right to correct any error in the Program, including in points balances, Tier placements, coupon values, published earning rates, and these Terms, and to reverse any benefit conferred in error, whether or not the error was ours.

Interpretation. All monetary amounts are in Philippine Pesos (₱). Where these Terms are translated into another language, the English version prevails in the event of any inconsistency.

Governing law and venue. These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising out of or in connection with the Program shall be subject to the exclusive jurisdiction of the competent courts of Makati City, without prejudice to your right to seek relief through the Department of Trade and Industry or other competent government agency.
